Designated point of contact for general inquiries and, where applicable, for the purposes of the EU Digital Services Act (DSA).

Minimum Age

• European Economic Area (EEA) and United Kingdom (UK): You must be at least sixteen (16) years of age to use the Services.
• Other Jurisdictions: You must be at least thirteen (13) years of age to use the Services.

Legal Capacity

By using the Services, you represent and warrant that you meet the applicable minimum age requirement and possess the legal capacity to enter into a binding contract with Resyn under the laws of your jurisdiction.

Parental Consent

If you are under the age of majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf. If we become aware that a user is under the applicable minimum age without verifiable parental consent, we reserve the right to terminate their account.

Account Creation

You may be required to register an account to access certain features. You agree to provide accurate, current, and complete information during the registration process and to maintain and promptly update your account information.

Confidentiality

You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify Resyn immediately of any unauthorized use of your account or any other breach of security.

Account Tiers

We may offer various account tiers (e.g., FREE, PRO, CREATOR) with varying features and limitations. We reserve the right to modify the features, pricing, and availability of any account tier at any time.

Ownership of Your Content

You retain all ownership rights in the content you create, upload, post, link, or otherwise make available on the Services, including, but not limited to, "memories," "echoes," captions, comments, and creator packs (collectively, "Your Content").

License Grant to Resyn

To facilitate the operation, promotion, and improvement of the Services, you grant Resyn a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, cache, use, reproduce, modify, adapt, publish, display, perform, translate, and distribute Your Content in connection with the Services and Resyn's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

This license is granted for the duration Your Content remains on the Services and shall terminate upon the deletion of Your Content from our systems, subject to technical backups and legal retention obligations.

Content Representations and Warranties

You represent and warrant that:

• You are the sole creator and owner of Your Content or otherwise possess all necessary rights, licenses, consents, and permissions to grant the license set forth in Section 4.2
• Your Content does not and will not infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation

Content Screening and Removal

We reserve the right, but are not obligated, to monitor, review, screen, or edit Your Content. We may remove or disable access to any of Your Content at any time and without notice if we reasonably believe it violates these Terms, our Community Guidelines, or any applicable law.

Revenue Share

Creators may offer premium content or services ("Creator Packs") for a fee. Unless explicitly stated otherwise in a separate written agreement, the default revenue share structure is seventy percent (70%) to the Creator and thirty percent (30%) to Resyn (70%/30% split) of the Net Receipts actually received by Resyn.

"Net Receipts" means the gross amount paid by the user, minus any platform fees (e.g., app store commissions), payment processor fees, refunds, chargebacks, and applicable taxes.

Payouts

Payouts to Creators are handled through designated third-party payment processors (e.g., Stripe, RevenueCat). Creators must complete all required Know Your Customer (KYC) and verification procedures, and provide accurate and complete payout details. Resyn may establish minimum payout thresholds and specific payout schedules, which will be communicated to the Creator.

Subscriptions

Subscriptions for PRO/CREATOR tiers or add-ons are billed on a recurring basis and will automatically renew until canceled by you. You must cancel your subscription before the end of the current billing period to avoid being charged for the next period.

Payment Processing

All payments are processed by third-party payment processors. Resyn does not store your full payment card details. By submitting payment information, you agree to the terms and conditions of our payment processors.

Pricing and Taxes

Prices for the Services may include or exclude taxes depending on your location and applicable law. You are responsible for any applicable taxes, including VAT or sales tax, that are not collected by Resyn.

Content Moderation

Resyn employs a combination of automated systems (including AI-powered moderation) and human review to detect, identify, and address potential violations of these Terms and our Community Guidelines.

Enforcement Actions

We reserve the right to take any action we deem appropriate, including, but not limited to removing or restricting access to specific content, limiting account features or visibility, and suspending or terminating your account access, either temporarily or permanently.

Resyn's Intellectual Property

The Services, including all software, design, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, video, and other intellectual property rights therein (excluding Your Content), are owned by Resyn or its licensors and are protected by Dutch and international intellectual property laws.

Takedown Procedures

If you believe that any content on the Services infringes your copyright or other intellectual property rights, you must submit a formal notice to [email protected]. Your notice must comply with all applicable legal requirements.

Third-Party Integrations

The Services integrate with, or may provide links to, third-party websites, applications, and services (e.g., payment processors, hosting providers, analytics tools). Your use of these third-party services is subject to their respective terms and conditions and privacy policies.

Advertisements

• Non-Personalized Ads: We strive to ensure that all ads are non-intrusive
• Personalized Ads: In jurisdictions requiring consent (e.g., EEA/UK), we will request your explicit consent before serving personalized advertisements
• Minors: We do not serve personalized ads to minors where prohibited by law

Changes to the Services

Resyn reserves the right to modify, suspend, or discontinue any aspect of the Services, including features, content, or availability, at any time, with or without notice.

Material Changes

If we make a material change to a paid feature that negatively affects your use of that feature, we will provide reasonable advance notice and, if required by law, offer you a pro-rata refund or the option to cancel the affected service.

Termination by User

You may terminate your account at any time by following the account deletion process within the Services.

Termination by Resyn

We may suspend or terminate your account and access to the Services immediately, without prior notice, if you materially breach these Terms or our Community Guidelines, we are required to do so by law or a governmental authority, your account is inactive for a prolonged period, or we determine that your continued use poses a risk to the Services, other users, or third parties.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles.

Exclusive Venue

Subject to mandatory consumer law, you and Resyn irrevocably agree that the courts located in or near The Hague / Rijswijk, The Netherlands shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
